Nexora Recon Terms of Service
Nexora Technologies, Inc. · effective October 16, 2026
1. Who these terms are between
These terms are an agreement between Nexora Technologies, Inc. ("Nexora", "we"), a Texas corporation with offices at 6627 W. T. C. Jester Blvd., Houston, TX 77091, and the accounting or bookkeeping firm that signs up for Nexora Recon (the "Firm", "you").
Nexora Recon is a service for businesses. The person who accepts these terms confirms that they are authorized to bind the Firm. If they are not, they must not accept them or use the service.
Our Privacy Policy explains how we handle personal and client data and is part of these terms.
2. The service
Nexora Recon (the "Service") reads the QuickBooks Online companies the Firm connects, compares them with the bank and credit card statements the Firm uploads, and suggests entries and explanations. It creates entries in QuickBooks only when a user of the Firm approves them.
Each Firm gets its own workspace. Sign-in is limited to email addresses on the Firm's own email domain, and multi-factor authentication is required for every user. The Firm decides who in the Firm is invited and what role each person has.
Nexora Recon works with QuickBooks Online (including QuickBooks Online Accountant). It does not work with QuickBooks Desktop.
3. Connecting client companies
The Firm represents that, for each QuickBooks company it connects and each statement it uploads, it has its client's authorization to give Nexora access to that data and to have Nexora Recon create the entries the Firm's users approve. The person who connects a QuickBooks company must be entitled to grant that access.
The Service connects to QuickBooks with Intuit's accounting permission (com.intuit.quickbooks.accounting)
only. It does not request payroll, payments or personal sign-in permissions.
4. What Nexora Recon writes to QuickBooks
- Nexora Recon writes to a client's QuickBooks company only when a user of the Firm selects statement lines and clicks Add to QuickBooks (approves them).
- It only creates new entries of four types: Purchase (shown as Expense), Deposit, Transfer and Credit Card Payment, using the date and amount from the statement.
- It never edits, voids or deletes entries that already exist in QuickBooks.
- The Firm is responsible for reviewing each suggestion before approving it, and for the accuracy of its clients' books. An entry the Firm approves is the Firm's entry.
5. Artificial intelligence
Nexora Recon uses an AI model (Claude, provided by Anthropic, PBC) to read uploaded statements, propose matches and entries, and explain reconciliation differences. AI output may be incomplete or wrong. It is not accounting, tax or legal advice. The AI proposes; a person at the Firm decides. A qualified person at the Firm should review suggestions before relying on them. The AI itself cannot write to QuickBooks: entries are created only by the approval step described in section 4.
6. Free trial
The free trial lasts 7 days and covers up to 10 client companies. No payment details are required. When the trial ends, the Firm must subscribe to keep using the Service. Until it does, scheduled processing pauses and new client companies can't be connected.
If the Firm doesn't subscribe, we email the Firm's super admins before deleting anything, and we delete the Firm's workspace and all its data 30 days after the trial ends.
The trial is provided as is, without any commitment of availability.
7. Fees and billing
- Price: $19 (USD) per connected QuickBooks Online client company per month, with a minimum of 10 client companies ($190 per month). Each client company covers all of its bank and credit card accounts.
- Client slots: the Firm buys a number of client company slots (at least 10). The Service won't connect more companies than the Firm has slots. More slots are available on request to info@nexoratechnologies.co.
- AI processing is included in the price; there is no separate AI charge.
- Billing: Nexora invoices the Firm directly each month for the slots on its plan. Billing is by Nexora, not through Intuit. Invoices are issued monthly in advance and are due within 15 days. Slots added during a month are invoiced from the day they are added.
- Taxes: fees exclude sales and similar taxes, which the Firm pays where they apply.
- Price changes: we may change prices with at least 30 days' written notice to the Firm's super admins. A change takes effect from the next billing period after the notice period.
8. Term, cancellation and suspension
The subscription runs month to month. Either party may cancel with 30 days' written notice; the Firm can give notice by email to info@nexoratechnologies.co. Cancellation takes effect at the end of the billing month in which the 30 days end, and the Firm pays for the Service through that date.
We may suspend the Service if an invoice is more than 30 days overdue, after telling the Firm by email. We may also suspend access immediately where needed to stop a security threat or a breach of section 10, and we will tell the Firm why.
9. The Firm's data
- Ownership. The Firm and its clients keep all rights in the data the Firm connects or uploads ("Firm Data"). We use Firm Data only to provide the Service to the Firm, as described in the Privacy Policy.
- Roles. For its clients' data, the Firm is the controller (it decides what is connected and uploaded) and Nexora is the processor: we process that data only on the Firm's behalf and on its instructions, which are these terms and the Firm's use of the Service. These terms include the processing commitments in this section and in the Privacy Policy. A separate data processing addendum is available on request for firms whose compliance requires one.
- No other use. We don't sell Firm Data, use it for advertising, use it to train AI models, combine it with other firms' data, or use it for any other product.
- Subprocessors. We use the subprocessors listed in the Privacy Policy (Amazon Web Services for hosting, and Anthropic for AI processing). We will update that list at least 30 days before adding a new subprocessor.
- Disconnecting a client. When the Firm disconnects a client company, its QuickBooks access is revoked at Intuit and its stored connection token is deleted immediately. Its statements and reconciliation history stay in the Firm's workspace until the Firm removes the client or closes its account.
- Removing a client. When the Firm asks us to remove a client (email info@nexoratechnologies.co), we delete that client's data within 30 days.
- End of the subscription. When the Firm's account closes, we revoke every QuickBooks connection at Intuit and delete all Firm Data within 30 days, except where the law requires us to keep something. Before closure, the Firm can ask us for an export of its reconciliation results and the log of entries added to QuickBooks, as CSV files.
10. Acceptable use
The Firm and its users must not:
- connect a QuickBooks company, or upload a statement, without the authorization described in section 3;
- upload statements of people or businesses that are not the Firm's clients;
- share sign-in credentials, or try to get around sign-in, multi-factor authentication or the email-domain limit;
- try to reach another firm's workspace or data, probe or test the Service's security without our written permission, or interfere with its operation;
- copy, reverse engineer or resell the Service, or use it to build a competing product;
- use the Service for anything unlawful.
The Firm is responsible for what its users do in its workspace.
11. Security
We keep each Firm's workspace isolated, require multi-factor authentication, and encrypt data in transit and at rest, as described in the Privacy Policy. We will notify the Firm's super admins without undue delay, and in any case within 72 hours, after confirming a security incident that affects the Firm's data.
The Firm is responsible for its own users' devices, passwords and authenticator apps, and for removing users who leave the Firm.
12. Support
Support is by email at info@nexoratechnologies.co. A person replies within one business day.
13. QuickBooks and Intuit
Intuit and QuickBooks are registered trademarks of Intuit Inc. Used with permission. Nexora Recon is not made, sponsored or endorsed by Intuit. Intuit is not responsible for Nexora Recon or for any support of it. The Firm's and its clients' use of QuickBooks Online is governed by their own agreements with Intuit. If Intuit changes or limits access to QuickBooks Online, parts of the Service may stop working; we will tell the Firm as soon as we know.
14. Warranties
We will provide the Service with reasonable skill and care. Apart from that, and to the extent the law allows, the Service is provided "as is" and "as available", without other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We don't promise that the Service will be uninterrupted or error-free, or that its suggestions will be correct.
15. Limitation of liability
To the extent the law allows:
- neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if told they were possible; and
- Nexora's total liability for all claims relating to the Service is limited to the fees the Firm paid Nexora in the 12 months before the event giving rise to the claim.
These limits don't apply to the Firm's payment obligations or to liability that can't be limited by law.
16. Responsibility for client authorizations
The Firm will defend and indemnify Nexora against third-party claims that arise from the Firm connecting a company or uploading data without the authorization required by section 3, or from entries the Firm approved.
17. Changes to these terms
We will email the Firm's super admins at least 30 days before a material change to these terms takes effect. If the Firm doesn't agree, it can cancel before the change takes effect, and the old terms apply until then.
18. Governing law and courts
These terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any dispute will be heard in the state or federal courts located in Harris County, Texas, and both parties consent to their jurisdiction.
19. General
- These terms and the Privacy Policy are the whole agreement between the parties about the Service.
- If a provision is found unenforceable, the rest stays in effect.
- Neither party may transfer these terms without the other's consent, except to a successor in a merger or sale of its business, with notice.
- Neither party is liable for delays caused by events outside its reasonable control.
